HELEN TAYLOR’S TERMS OF BUSINESS

1. Definitions

1.1 "Buyer" means the person, full details of whom are set out in the
Schedule, who buys or agrees to buy the Painting from the Seller.

1.2 "Conditions" means the terms and conditions of sale set out in this
document and any special terms and conditions agreed in writing by the Seller.

1.3 "Painting" means the painting, full details of which are set out in the
Schedule, which the Buyer agrees to buy from the Seller.

1.4 "Price" means the price for the Painting set out in the Schedule
which price includes carriage, packing, insurance and Value Added Tax (if any).

1.5 "Seller" means Helen Taylor of PO Box 164, Woodbridge, Suffolk,
IP12 1UW, England.

2. Conditions applicable

2.1 These Conditions shall apply to the sale of the Painting by the Seller to the exclusion of all other terms and conditions including any terms or conditions which the Buyer may purport to apply under any purchase order, confirmation of order or similar document.

2.2 The signing by the Buyer of these Conditions shall be deemed to be an offer by the Buyer to purchase the Painting pursuant to these Conditions.

2.3 Acceptance of delivery of the Painting shall be deemed conclusive evidence of the Buyer’s acceptance of these Conditions.

2.4 Any variation to these Conditions (including any special terms and conditions agreed between the parties) shall be inapplicable unless agreed in writing by the Seller.

3. The Price and Payment

3.1 Payment of the Price shall be made prior to despatch of the Painting by the Seller. If the Buyer chooses to pay by cheque, the Painting will not be despatched until the Buyer’s cheque has been cleared by the Seller’s bank.

3.2 Any duty, levy, tax or other charge payable as a result of the purchase of the Painting shall be the sole responsibility of the Buyer.

4. Acceptance of the Painting

4.1 The Buyer shall be deemed to have accepted the Painting on delivery to the Buyer.

4.2 After acceptance, the Buyer shall not be entitled to reject the Painting.

5. Title and Risk

5.1 Title shall pass on delivery of the Painting.

5.2 Risk shall pass to the Buyer on cleared funds for the Price being received by the Seller.


6. Copyright

The copyright remains with the seller.

7. Proper Law of Contract

This contract is subject to the law of England and Wales.
